Cyprus Ready-made companies, or “shelf” companies are already incorporated and designed for those clients that wish to start their business immediately and require Cyprus based directorship and shareholder services. Such companies are available for immediate purchase. Shelf companies have not done any business, have not entered into any dealings or obligations whatsoever. As the name suggests, the incorporation documents of these companies have been kept “on the shelf” in our office, without any practical usage whatsoever.

By choosing a shelf company over a new incorporation several benefits can be achieved:

  • especially quick delivery times can be achieved, because the incorporation process has already been completed;
  • a company with an older registration date may be acquired, which may be useful by adding a certain “age” and, therefore, respectability to the company;
  • there is no need to go through the frustrating task of thinking-up an original company name, as one can choose from an existing list and perhaps find a suitable name without much thinking.

Important notes about shelf companies

  1. The companies with a registration date indicated are already registered, exist as legal entities and are available for purchase.

 

  1. The company names marked as “approved” have been approved for registration by the Registrar, but still need to be registered in the Registrar of Companies. The registration of an approved company name usually takes 2 weeks.

 

  1. Ordering a ready-made company (“shelf company”) does not necessarily mean that the documents will be shipped out immediately. If You are a new client, our usual Know Your Client procedures will have to be completed, and payment will have to be made.

 

  1. A shelf company has “finalized” configuration. As such, it will have directors elected, shares allocated, the respective internal Registers and Resolutions drawn up, etc. For shelf companies we provide our in-house director and shareholder services. Therefore if structural changes will be required, such post-incorporation procedures can only be completed after a client order is received, and will take additional time.

 

  1. All-in-all, choosing a shelf company can save you up to 14 business days which are usually necessary to prepare the initial incorporation and to register a new Cyprus company. However, the final preparation of the company before shipment will depend on the details of Your order, and on the receipt of the respective Due Diligence information and the payment from You.

 

  1. We strongly oppose and do not recommend entering into any business transactions in the name of Your company before you have received the original documents!
